Corporate Governance
Corporate governance is the process and structure used to direct and manage the business and affairs of an issuer with the objective of enhancing value for its owners.
Board Mandate
The Board has adopted a written mandate. A copy of which may be found on the Company website.
Ethical Business Conduct
The Board has adopted a written Code of Business Conduct and Ethics. A copy of the Code is available on the Company website and at SEDAR at www.sedar.com.
The Company regards maintaining a culture of ethical business conduct as critically important. The Board monitors compliance with the Code by requiring all officers, directors and employees who become aware of any existing or potential violation of the Code to notify a member of the Audit Committee, who will report all complaints and allegations to the Board of Directors for investigation.
The Code of Business Conduct and Ethics calls on all directors, officers and employees of the Company to strive to avoid situations that create, have the potential to create, or create the appearance of, a conflict of interest.
Committees
The Company has as an Audit Committee, Nominating and Corporate Governance Committee and Compensation Committee. Please see "AIM -- Rule 26" for further details.
